Amendments to the FCLB Articles of Incorporation
Whereas, The Federation of Chiropractic Licensing Boards (FCLB) is a Wyoming nonprofit organization; and
Whereas, From time to time, the FCLB may need to amend its Articles of Incorporation as filed with the Wyoming Secretary of State; and
Whereas, Amendments to the FCLB bylaws require a 2/3 majority vote of delegates, provided a quorum has been established, and
Whereas, The FCLB is committed to governance practices based upon member participation and transparency; and
Whereas, The FCLB Board of Directors recommends that the process for amending the Articles of Incorporation mirror that of amending the bylaws; now, therefore, be it
Resolved, That proposed amendments to the Articles of Incorporation be submitted to the Delegate Assembly for consideration under policies and procedures established by the FCLB Board of Directors; and
Resolved, That in order for the Delegate Assembly to approve such proposed amendments, an affirmative vote of at least 2/3 of the members present be required, provided a quorum has been established, and
Resolved, That the FCLB Board of Directors is authorized to, as needed, amend the registered office and registered agent designated in the FCLB Articles of Incorporation.

Restatement of the FCLB Articles of Incorporation
Whereas, The Federation of Chiropractic Licensing Boards (FCLB) has been incorporated in Wyoming as a nonprofit organization since 1966; and
Whereas, The FCLB received a Federal IRS determination letter awarding 501(c)(6) status in 1968; and
Whereas, Many other federations of professional regulatory boards operate under 501(c)(3) status; and
Whereas, 501(c)(3) status designation would more accurately reflect the membership and operations of the organization; and
Whereas, The FCLB Board of Directors proposes a Restatement of the FCLB Articles of Incorporation to coincide with its mission and operations and to facilitate its 501(c)(3) application; now, therefore, be it
Resolved, That the FCLB adopt the Restatement of the FCLB Articles of Incorporation as attached.

To adopt a 5% annual automatic dues increase
and to bundle one annual conference registration fee into the dues package effective January 1, 2009
Whereas, The current Federation Bylaws specify that annual dues for member boards shall be determined by the Board of Directors and approved by majority vote of the member chiropractic boards; and
Whereas, At the 2007 annual business meeting, the Federation delegates voted to increase the dues structure by 20% effective January 1, 2008, and to establish an ad hoc committee to review the dues structure; and
Whereas, The dues structures for other professions’ federations of regulatory boards have been carefully studied; and
Whereas, Dues for all such federations represent a vital income consideration; and
Whereas, A dues structure based strictly on a per licensee assessment (rather than the current “category range” model) would pose undue hardship for some FCLB member boards; and
Whereas, The current category range dues structure is as follows:

Whereas, The FCLB delegates requested the a regular “cost of living” increase be built into any final proposal, to aid in the budget projection process of the member boards; and
Whereas, Several member boards have requested consideration of a bundled package to include one prepaid annual conference registration fee; and
Whereas, Such annual conference prepaid registration fee would be on a “use it or lose it” basis, thereby encouraging member boards to take advantage of the benefit and to participate in the Federation’s educational conference and annual business meeting; and
Whereas, The current conference registration fee is $395 (subject to modification by the FCLB board of directors as necessary to meet expenses); now, therefore, be it
Resolved, That the Federation increase membership dues annually by 5% per category, based on the current category range model; and
Resolved, That each board’s FCLB membership dues be increased to include one prepaid annual conference fee to be applied to the registration of its designated representative; and
Resolved, That this modification of the FCLB dues structure be implemented effective with the January 2009 dues assessment.

Acceptance of continuing education of the pillars of chiropractic -
science, art, history and philosophy
Whereas, The Federation of Chiropractic Licensing Boards understands the need of appropriate chiropractic continuing education with the establishment of the Providers of Approved Continuing Education (PACE) program; and
Whereas, Criterion 16 of the PACE program states that “...continuing education program addresses topics pertinent to contemporary chiropractic art, science, philosophy or practice,” now, therefore, be it
Resolved, That the Federation of Chiropractic Licensing Boards highly recommends that every licensing jurisdiction approve continuing chiropractic education relative to science, art, philosophy and history without prejudice; and
Resolved, That the Federation of Chiropractic Licensing Boards highly recommends that every CCE approved chiropractic college provide continuing chiropractic education relative to science, art, philosophy and history without prejudice.
